Shopify Consumer Services include Shopify's shopping mobile and web application (\"**Shop**\"), Shopify's accelerated checkout option (\"**Shop Pay**\"), Shopify's features and services on Merchants' storefronts or third party sites, integrations between Shopify and your third-party email and shopping providers and other products, features, contents, websites, tools, and services that we provide to you.\n\n1.2. These Terms form an agreement between the applicable Shopify entity defined below (\"**Shopify**,\" \"**Shop**,\" \"**we**,\" \"**our**,\" or \"**us**\") and you (\"**you**\" or \"**your**\") and represent the terms and conditions of your access to and use of the Shopify Consumer Services. The Shopify entity you contract with, and that provides the Shopify Consumer Services to you, together with its affiliates, depends on where you live:\n\n* If you live in the United States or Canada, you are contracting with Shopify Inc., a Canadian corporation, with offices located at 151 O'Connor Street, Ground floor, Ottawa, Ontario, K2P 2L8 and, where the Shopify Consumer Services include payment activities that are regulated under the Canadian Retail Payment Activities Act, Shopify Payment Activities Inc., a Canadian corporation, with offices located at 151 O'Connor Street, Ground floor, Ottawa, Ontario, K2P 2L8.   \n* If you live in the Asia Pacific region (including Australia, New Zealand, China, Japan, Singapore), you are contracting with Shopify Commerce Singapore Pte. By accessing or using any of the Shopify Consumer Services, you agree to be bound by these Terms.\n\n1.4. Our **[Consumer Privacy Policy](https://www.shopify.com/legal/privacy/app-users)** describes how we collect and use your Personal Data to provide the Shopify Consumer Services and is part of these Terms and your agreement with Shopify.\n","Term2Heading":"2. The Services We Provide To You\n","Term2Markdown":"2.1. We provide the Shopify Consumer Services to further our mission of making shopping better for everyone, including by helping you:\n\n  > 2.1.1. **Connect with Merchants**: Shopify helps you discover, browse, and shop at merchants that use Shopify's services (\"**Merchants**\"). Using Shopify Consumer Services, you can browse products and make purchases easily from Merchants around the globe, from their storefront or from Shop. You can also see and share product ratings with other Shopify users to help you make informed decisions when you shop.\n\n  > 2.1.2. **Experience a simpler, faster and more streamlined shopping experience**: Shopify makes it easier and faster for you to shop with Merchants in various ways, such as by providing Shop Pay, providing personalized product recommendations based on your purchase and browsing history, and syncing your shopping activity between Shop and Merchant stores.\n\n  > 2.1.3. **Manage your purchases in one place:** Shopify provides updates about the status of your purchases from Merchants and makes it possible for you to find and manage details about all of your purchases in one place in Shop, such as tracking the location, status, and delivery of items you have purchased, and letting you know when you have received a refund from a Merchant. If you choose to allow Shopify access to third-party email providers and third-party shopping partners you use, Shopify will also provide order updates of items you have purchased, including from non-Merchants.\n\n  > 2.1.4. **Find products we think you will love:** Shopify customizes your online shopping experience on Shop and on Merchant stores and provides tailored product recommendations to you based on your use of Shopify Consumer Services, including by helping you discover new products, brands, and Merchants.\n\n  > 2.1.5. **Continuously improve your shopping experience wherever you shop:** Shopify is continuously working to build and improve your shopping experience online and offline and to develop and add new and improved features for you based on how you use our services.\n\n  > 2.1.6. **Participate in promotions or earn rewards:** Shopify may provide opportunities for you to participate in promotional offers or to earn rewards through our Shop Rewards Program. If you participate in our Shop Rewards Program, the **[Shop Rewards Terms](https://shop.app/shop-cash-terms)** will apply.\n","Term3Heading":"3. Your Commitments and Use of Shopify Consumer Services\n","Term3Markdown":"3.1. To be eligible to use Shopify Consumer Services, you must be at least eighteen years old or the age of majority in your country of residence. If you are using Shopify Consumer Services, you must be permitted to agree to these Terms under the laws of the country you live in, including having sufficient legal capacity. If you are a parent or guardian who allows your child under 18 to use Shopify Consumer Services on your account, you provide all consents necessary for your child's use of Shopify Consumer Services and agree to be legally responsible for all activity of your child on your account.\n\n3.2. You agree to provide truthful and accurate information about yourself when registering for and using Shopify Consumer Services, including your name and contact information, and you agree to keep this information updated and current.\n\n3.3. You agree not to share your Shopify password with others, give access to your Shopify account to others, or transfer your account to anyone else without our permission. If you think someone knows your account login details or has accessed your account without your permission, you should reset your password. You are solely responsible for the unauthorized use of your credentials. In the event of unauthorized access to your account, you must promptly notify Shopify.\n","Term4Heading":"4. Use of Shop Pay\n","Term4Markdown":"4.1. When you choose to use Shop Pay, you are required to provide account and contact information and to link your Shop Pay account to a valid payment method. You warrant and represent that you are the legal owner of all payment accounts you provide and link to Shop Pay, and that all information you provide when signing up for Shop Pay is truthful, current and accurate.\n\n4.2. Shopify reserves the right to prohibit or restrict your ability to make transactions using Shop Pay at any time for any reason, without notice to you, or to request additional information from you before you can use or continue to use Shop Pay.\n\n4.3. Installment payments on Shop Pay are supported and managed by Third Party partner [Affirm](https://shoppay.affirm.com/help/s/), and if you choose to pay in installments or to purchase and pay later when using Shop Pay, you are contracting with Affirm and eligibility determinations and repayment of your purchase obligation are governed by Affirm's terms of service, which are presented to you during checkout. Shopify is not a party to any agreement between you and Affirm, and expressly disclaims all liability with respect to such agreements.\n","Term5Heading":"5. License, Prohibitions and Restrictions\n","Term5Markdown":"5.1. Shopify grants you a limited, non-exclusive, non-sublicensable, non-transferable, and revocable license to access and use the Shopify Consumer Services consistent with these Terms. You may not use the Shopify Consumer Services for any other purpose than as authorized. Shopify reserves all rights not expressly granted.\n\n5.2. In connection with using or accessing Shopify Consumer Services or interacting with Shopify, you agree to comply with these Terms, in addition to any other applicable Shopify terms and policies that may apply to your use of specific Shopify Consumer Services, and to comply with all applicable laws, regulations and rules that apply to your use of Shopify Consumer Services.\n\n5.3. In addition, you agree not to do (or help others to do) any of the following in connection with your use of Shopify Consumer Services or when shopping with a Merchant:\n\n  > 5.3.1. You will not purchase or attempt to purchase products and services that are unlawful for you to purchase in your country of residence using Shopify Consumer Services or that breach or circumvent any applicable laws or regulations, including products that require you to be an age that you have not reached.\n\n  > 5.3.2. You will not infringe or violate someone else's rights under Shopify's terms and policies or applicable laws and regulations, including their intellectual property rights, induce someone to infringe or violate Shopify's terms, or interfere with any person's or third party's use or enjoyment of the Shopify Consumer Services or Shopify's platform.\n\n  > 5.3.3. You will not submit false, inaccurate, deceptive, or misleading information to Shopify or in connection with your use of the Shopify Consumer Services.\n\n  > 5.3.4. You will not upload or transmit viruses or malicious code or take any action that would interfere with, disable, overburden, or impair the proper working, security, integrity, operation, appearance, or enjoyment of the Shopify Consumer Services, including by Merchants or other users.\n\n  > 5.3.5. You will not compromise, interfere with, or circumvent any of the security or  authorization access features that are part of the Shopify Consumer Services.\n\n  > 5.3.6. You will not modify, translate, reverse engineer, disassemble, reconstruct, decompile, copy, or create derivative works of the Shopify Consumer Services.\n\n  > 5.3.7. You will not use any robot, spider, scraper, data gathering and extraction tools, automatic devices or processes, AI tools (including but not limited to agentic AI) or automated or manual means to access, interact with, copy, or extract the Shopify Consumer Services for any purpose, except with Shopify's prior express permission.\n\n  > 5.3.8. You will not bypass any robot exclusion headers or other measures we employ to monitor or restrict access to the Shopify Consumer Services.\n","Term6Heading":"6. User Generated Content\n","Term6Markdown":"6.1. You are solely responsible for any content you submit, post, or display on or through the Shopify Consumer Services, including, but not limited to, any Product Reviews (as defined in these Terms), photos, comments, or your name/username (collectively, \"**UGC**\"). All UGC must comply with these Terms, applicable [policies](https://help.shopify.com/en/manual/online-sales-channels/shop/eligibility/content-moderation), laws and regulations. This includes, but is not limited to, laws concerning endorsements and advertising, which require transparent disclosure of any material connection between you and any commercial entity mentioned in your UGC.\n\n6.2. We encourage you to post feedback, comments and reviews about products you have purchased, which is an important part of the Shopify experience (collectively, \"**Product Reviews**\"). You agree that your reviews will be truthful, accurate and based on your actual experience with the product, will comply with our **[Product Review Policies](https://shop.app/product-review-policies)** and will comply with all applicable laws, regulations, and regulatory guidance. As a reminder, our **[Product Review Policies](https://shop.app/product-review-policies)** prohibit you from submitting reviews in exchange for money, discounts, free products or refunds. You agree that you will have no right to any payment or revenue participation from Shopify in connection with any such Product Reviews that you post when using the Shopify Consumer Services.\n\n6.3. We can take action, including through the use of automated tools, against UGC that violates these Terms, our policies, or where we are permitted or required by law, such as by removing, restricting, or limiting access to, or distribution of, the UGC. While Shopify reserves the right to remove UGC at any time and for any reason, we do not generally verify UGC for accuracy or endorse any opinions expressed therein and we are not responsible or liable to any third party for the content or accuracy of any UGC posted by you or any other user.\n\n6.4 You grant Shopify a worldwide, nonexclusive, royalty-free, perpetual, irrevocable, transferable, and fully sublicensable right to host, expose, run, use, store, reproduce, modify, adapt, publish, publicly perform and communicate (including by telecommunication), broadcast, make available, translate, copy, create derivative works from, distribute, and display your UGC, and related content, in any media, without limitation. You represent, warrant, and agree that you have all necessary rights to the UGC you submit, post or display to grant this license. You waive, in favor of Shopify, any moral rights you may have in all UGC. This means, for example, your UGC may appear publicly on Shop and may be shared with the Merchant whose product or service you are reviewing, where applicable. Use of your UGC by a Merchant outside of Shop is subject to that Merchant's own terms and policies, not these Terms. Shopify respects the valid intellectual property rights of others and any violative UGC can be removed at our discretion. If you believe that any UGC on Shop infringes your intellectual property rights, you can report it **[here](https://www.shopify.com/legal/tools/report-an-issue)**. Third-Party Services\n","Term7Markdown":"7.1 The Shopify Consumer Services may integrate with, or provide access to, services, features, or apps developed by third parties (\"**Third Party Services**\"). These Third Party Services are made available via Shopify but are developed and operated independently by third party developers or service providers (each, a \"**Third Party**\").\n\n7.2 Shopify is not responsible for any Third Party Services. You may choose to use, or sign up for, Third Party Services at your discretion and risk. Shopify's provision of access to Third Party Services does not imply endorsement, approval, or recommendation by Shopify of the Third Party or the Third Party Services. Any support, maintenance, or assistance for Third Party Services is provided by the respective Third Party, not by Shopify. Any disputes, claims, or issues arising from your use of a Third Party Service must be resolved directly with the Third Party. Shopify does not guarantee the functionality, security, reliability, or continued availability of any Third Party Service. Third Party Services may be modified, suspended, or discontinued by Shopify or the Third Party, with or without notice.\n\n7.3  Your use of any Third Party Services, including the handling of any Personal Data you share with a Third Party, is subject to the terms and privacy policy of the respective Third Party. It is your responsibility to review these documents carefully. By accessing or using a Third Party Service, you acknowledge and agree to be bound by such Third Party's terms and privacy policy.\n","Term8Heading":"8. Shopify Rights\n","Term8Markdown":"8.1. **Permission to update Shopify software:** If you download or use Shopify's software, including Shop, you give Shopify permission to download and install updates to the software where available, including on services where software may update automatically on your device when a new version or feature becomes available. You may adjust your automatic update settings on some devices.\n\n8.2. **Communications**: To provide you with Shopify Consumer Services, Shopify may communicate with you via email, our messaging tools, or through text/short message service (\"**SMS**\") to the extent permitted by applicable law and/or consistent with your permissions. You're responsible for any mobile charges you may incur for using any of the SMS services, including text-messaging (e.g., SMS, MMS) and data charges.\n\n8.3. **Marketing and Advertising:** In addition, Shopify may market, advertise, and promote Shopify Consumer Services or Merchants' products or services to you on and off Shopify, including on third-party services.\n\n8.4. **Access Third-Party Emails to provide Shopify Consumer Services:** If you link your Shopify account with a third-party email service or third-party shopping platform for order tracking, you consent to give Shopify access to the contents of your emails and to your shopping history. Shopify only uses this information to provide Shopify Consumer Services to you, and does not use information obtained from third-party partners you integrate with Shopify to show or target advertising to you. You can revoke this consent at any time by de-linking these accounts in Shop.\n","Term9Heading":"9. Merchants & Shopify's Role\n","Term9Markdown":"9.1. All Merchants use Shopify's platform for business purposes and are solely responsible for ensuring consumer rights.\n\n9.2. Shopify helps you find and improve your shopping experience with Merchants, but it is not a party to the purchase agreements you make with Merchants, nor is Shopify responsible for fulfilling transactions or products purchased through Merchants or using Shopify Consumer Services.\n\n9.3. As a provider of the Shopify Consumer Services, Shopify does not own, control, or manage any Merchant. You agree that Shopify is not liable or responsible for the actions, product, and content of Merchants. Purchases from Merchants are subject to the Merchant's terms of service and policies, and not these Terms.\n\n9.4. You may choose to use other businesses' services to support your purchases from Merchants, such as a third-party payment service or wallet to complete your purchase. Shopify is not a party to these transactions and is not responsible or liable for payment failure, fraud, or any other issues that may arise out of these transactions.\n","Term10Heading":"10. Account Suspension and Termination\n","Term10Markdown":"10.1. Shopify retains the right to suspend or terminate your account and use of Shopify and the Shopify Consumer Services for any reason, including to investigate potential violations of these Terms.\n\n10.2. If you do not agree with our current Terms, you may discontinue your use of the Shopify Consumer Services at any time by closing all Shopify accounts, discontinuing your use of Shopify Consumer Services, and refraining from interacting with Shopify.\n","Term11Heading":"11. Limitation of Liability; Disclaimer of Warranties\n","Term11Markdown":"**11.1. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITIES: TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY UNDERSTAND AND AGREE THAT IN NO EVENT WILL SHOPIFY, ITS AFFILIATES, SUBSIDIARIES, EMPLOYEES, AGENTS, SUPPLIERS OR INDEPENDENT CONTRACTORS (THE \"DISCLAIMING ENTITIES\") BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR INTERRUPTION, LOSS OF INCOME, BUSINESS, PROFITS, GOODWILL, USE, DATA, SAVINGS OR OTHER PECUNIARY OR INTANGIBLE LOSSES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (INCLUDING NEGLIGENCE), WHETHER SUCH DAMAGES ARE ALLEGED IN TORT, CONTRACT, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND WHETHER OR NOT ANY OF THE DISCLAIMING ENTITIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER ALL CIRCUMSTANCES, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MAXIMUM AGGREGATE LIABILITY OF THE DISCLAIMING ENTITIES, INCLUDING SHOPIFY, ITS PARENTS, SUBSIDIARIES, AND AFFILIATES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND ADVISORS, ARISING OUT OF OR RELATING TO THESE TERMS OR USE OF, OR WITH REGARD TO, SHOPIFY CONSUMER SERVICES, WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU HAVE PAID US IN THE PAST 12 MONTHS. YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS SET FORTH IN THIS SECTION ARE INTEGRAL TO THE SHOPIFY CONSUMER SERVICES AND AMOUNTS CHARGED BY THE DISCLAIMING ENTITIES FOR SERVICES AND THAT IF THE DISCLAIMING ENTITIES WERE TO ASSUME FURTHER LIABILITY OTHER THAN AS SET FORTH HEREIN, THE FEES WOULD, OF NECESSITY, BE SUBSTANTIALLY INCREASED.**\n\n11.2. **Indemnification:** You agree to indemnify, defend, and hold harmless Shopify and the disclaiming entities from all claims, losses, damages, penalties, liability, and costs, including reasonable attorneys' fees, of any kind or nature arising out of or related to a claim (a) alleging that your use of Shopify Consumer Services infringes or violates the rights of a third party (including any merchant) or violates applicable law; or (b) arising out of your breach of these Terms or the documents they incorporate by reference.\n\n11.3. **Use at Own Risk:** Your use of the Shopify Consumer Services is at your sole risk. Shopify Consumer Services are provided on an \"as is\" and \"as available\" basis without any warranty or condition, express, implied or statutory.\n\n11.4. **No Representation Regarding Merchant Products or Services:** To the fullest extent permitted by law, Shopify and the Disclaiming Entities make no representation or warranty of any kind whatsoever for the Shopify Consumer Services, the content, materials, information, and/or functions available through Shopify Consumer Services, or for any breach of security associated with the transmission of information (including sensitive information) through Shopify Consumer Services.\n\n11.5. **Errors & Inaccuracies:** Any reliance on the material or information made available through Shopify Consumer Services is at your own risk. We do not warrant that the Shopify Consumer Services will be uninterrupted, timely, secure or error-free, or that any errors will be corrected. We do not warrant that the result obtained from use of the Shopify Consumer Services will be accurate or reliable.\n","Term12Heading":"12. Agents\n","Term12Markdown":"12.1. This section applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Shopify Consumer Service. \"Agent\" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of, or using a person's device, without direct supervision.\n\n12.2. No Agent may access, use, or interact with Shopify Consumer Services unless authorized to do so by Shopify in writing. At all times, the Agent must identify itself and operate in strict accordance with the requirements in section 12.4 below. In addition, no Agent may access, use, or interact with Shopify Consumer Services if we have requested that the Agent refrain from accessing, using, or interacting with any service.\n\n12.3. At Shopify's discretion, we may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with Shopify Consumer Services.\n\n12.4. Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request's user agent string: \"Agent/[agent name]\"; (ii) not conceal or obfuscate that any access, use, or interactions are from an Agent, such as by (a) mimicking human behavior and interaction patterns, or (b) completing or circumventing CAPTCHAs or measures intended to distinguish computer use from humans, (iii) respond truthfully to any question or prompt seeking to determine if interactions are coming from a human or a computer, (iv) not circumvent or otherwise avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with any Shopify Consumer Services, and (v) not scrape, collect, retain, or use data from Shopify Consumer Services for any purpose other than strictly automating reasonably expected user activity that would otherwise be permitted under these Terms if performed manually by a user of Shopify Consumer Services, and in no event for the purpose of training, developing, improving, or fine-tuning any machine learning or artificial intelligence system, model, or technology.\n\n12.5. When you connect your Shop Account to an Agent or a third party agentic platform (an \"**Agentic Platform**\"), the Agent or Agentic Platform is a Third Party under these Terms. Shopify will identify the categories of Shop Account information that may be shared as part of that connection. By connecting your Shop Account, you authorize Shopify to share that information with the Agent or Agentic Platform so it can provide the connected experience and help prepare, initiate, or complete purchases at your direction. This information may include your name, email, phone number, addresses and limited payment method details.\n\n12.6. When you initiate a purchase through an Agent or Agentic Platform after connecting your Shop Account, you authorize Shopify to act on your instructions to help complete the purchase. In some cases, this may include creating or using a separate payment credential to make the purchase on your behalf. For these purchases: (i) you authorize Shopify to charge or debit your selected payment method for the purchase amount, including taxes, shipping and any other applicable fees, to reimburse Shopify for amounts paid or enabled on your behalf, which satisfies your payment obligation to the merchant for that purchase; and (ii) you may not receive the offers, benefits, rewards or protections that would have applied if your selected payment method had been used to pay the merchant directly. Shopify does not take possession of, take title to, own, or resell to you the goods or services you purchase through an Agent or Agentic Platform. The merchant sells the goods or services to you and remains responsible for fulfillment, receipts, taxes, product quality, returns, refunds, warranties, and compliance with laws that apply to the merchant's sale. You are responsible for purchases completed through an Agent or Agentic Platform that you authorize, even if the Agent or Agentic Platform misinterprets your instructions or the purchase differs from what you intended.\n","Term13Heading":"13. Additional Provisions\n","Term13Markdown":"13.1. **Modifications to the Service:** We may change, remove, or discontinue any part of the Shopify Consumer Services at any time.\n\n13.2. **Governing Law and Venue:** For any claim, cause of action, or dispute you have against us that arises out of or relates to these Terms or the Shopify Consumer Services, you agree that it will be resolved exclusively in the provincial and federal courts of the Province of Ontario. You also agree to submit to the personal jurisdiction of these courts for the purpose of litigating any such claim. These Terms will be governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to principles of conflicts of laws.\n\n13.3. **No Rights in Third Parties:** Nothing expressed or referred to in these Terms will be construed to give any individual or entity other than the parties to these Terms any legal or equitable right, remedy or claim under or with respect to these Terms or any provision of these Terms.\n\n13.4. **Assignment**: You may not assign these Terms or any rights or obligations hereunder without our prior written approval and any such attempted assignment will be void. We reserve the right to freely assign these Terms and the rights and obligations hereunder, to any third party without notice or consent, including in connection with a merger, acquisition, or sale of assets by Shopify, by operation of law or otherwise. These Shop Minis Developer Terms (\"**Mini Terms**\") supplement, and are governed by, the [Shopify Partner Program Agreement](https://www.shopify.com/ca/partners/terms) and the [Shopify API Terms](https://www.shopify.com/ca/legal/api-terms) (collectively, the \"**PPA**\"), and apply specifically to Shop Mini Developers.\n\nReference to \"**Terms**\" in these Mini Terms means, collectively, these Mini Terms, the [Shop Minis developer guidelines](https://shopify.dev/docs/api/shop-minis/guidelines) (\"**Developer Guidelines**\"), the PPA and any other documentation we make available to you. In the event of any inconsistencies between these Mini Terms and the PPA, the Mini Terms will take precedence in resolving the conflict, unless explicitly specified herein to the contrary. For clarity, the terms applicable to App Developers and Public Applications in the PPA shall apply to you and your Shop Mini(s). Any capitalized terms not defined herein shall have the meanings ascribed to them in the PPA.","Term1Heading":"1. Definitions","Term1Markdown":"- **\"Applicable Data Protection Law(s)\"** means any data protection or privacy laws applicable to the processing of information or data defined as ‘personal data,’ ‘personal information,’ or ‘personally identifiable information’ (or analogous term), their implementing regulations and secondary legislation, each as may be amended, updated or replaced from time to time.\n- **\"Merchant Materials\"** means any content or materials owned or controlled by Merchants that Shopify makes available to you via the Shop Minis SDK, including: (i) intellectual property (such as trademarks, service marks, logos, and trade names); (ii) product and service information (including descriptions and pricing); or (iii) digital content (including photos, images, videos, graphics, written content, and audio files).\n- **\"Shop\"** means Shopify’s mobile and web shopping application.\n- **\"Shop Mini\"** means an Application developed by a Shop Mini Developer in connection with Shop.\n- **\"Shop Mini Content\"** means any data, information, technology, materials, or other content that you or those acting on your behalf add to your Shop Mini or otherwise make available to us in connection with your Shop Mini(s).\n- **\"Shop Mini Developer\"** means a Partner who develops an Application that facilitates the provision of third party functionality within Shop. Shop Mini Developers are considered Partners and App Developers under the PPA.\n- **\"Shop Mini SDK\"** means the APIs, software developer kits and other products and services and associated software made available to you by Shopify related to the development of Shop Minis, which forms part of the Shopify API.\n- **\"Shop User\"** means each of the users or customers that use Shop.\n- **\"Shop User Data\"** means any Personal Data or other data relating to a Shop User. This data may include, without limitation, names, preferences, user-generated images, purchase history, favorite products, and other related user-specific content. For clarity, Shop User Data under these Mini Terms refers specifically to data accessed or received through the Shop Mini SDK or provided by the Shop User to a Shop Mini Developer in the applicable Shop Mini (as permitted by the Terms). While certain elements of Shop User Data may overlap with data defined as \"Customer Data\" in the PPA (particularly in the context of a Partner processing data on behalf of a Merchant), Shop User Data pertains solely to the data processed in connection with a Shop User’s use of Shop and shared with a Shop Mini Developer in relation to its applicable Shop Mini.","Term2Heading":"2. Development and Submission of Shop Minis","Term2Markdown":"- A. __Authorized Development__. Shopify authorizes Shop Mini Developers to develop Shop Minis using the Shop Mini SDK, provided Shop Mini Developers strictly comply with the Terms. Submitting a Shop Mini to Shopify constitutes agreement with the Terms.\n- B. __Shop Mini Review & Approval__. Submission of a Shop Mini shall not obligate Shopify to approve or publish the Shop Mini. All Shop Minis, and any updates thereto, require Shopify’s express approval before distribution. Shopify has sole and unlimited discretion to approve, reject, conditionally approve, or remove any Shop Mini at any time, for any reason, without liability. YOU AGREE THAT SHOPIFY MAY MONITOR YOUR SHOP MINI AND USE OF THE SHOP MINI SDK TO ENSURE QUALITY, IMPROVE THE SHOP MINI SDK AND OTHER SERVICES, AND VERIFY YOUR COMPLIANCE WITH THE TERMS. You will not interfere with this monitoring. You will not materially change your Shop Mini’s functionality (including the scope of Shop User Data or Merchant Materials you collect or how you use or share it) beyond its reviewed stated purpose.\n- C.  __Compliance__. Shop Mini Developers must fully adhere to all Developer Guidelines, which Shopify may update or modify at its discretion. Further to Section 2.2 of Part A of the Partner Program Agreement, Shop Mini Developers must ensure their Shop Mini complies with all applicable law, including, but not limited to, accessibility, privacy and consumer protection laws. Shopify may require Shop Mini Developers to implement amendments or improvements to remain compliant.\n- D.  __Termination or Suspension__. For clarity, Shopify’s rights in the PPA to suspend or terminate access to the Shopify API shall extend to these Mini Terms and/or the Shop Mini SDK. Termination or suspension shall not relieve you from any obligation or liability that accrued prior to the effective date of such termination or suspension. In addition to any provisions that by their nature are intended to survive, the following sections of the Mini Terms will survive any termination or suspension: Section 1 (Definitions); Section 3(A) (License); Section 4 (Use of Merchant Materials and Prohibitive Practices); Section 5 (Data Access, Privacy and Security); and Section 7 (Indemnification and Limitation of Liability). The survival of these provisions is in addition to any provisions of the PPA that survive the termination or expiration of the PPA according to its terms.","Term3Heading":"3. Use of Your Shop Mini and Shop Mini Content","Term3Markdown":"- A. __License__. You grant us a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to run, publicly display and perform, distribute, reproduce, modify, host, translate, store, and otherwise use your Shop Mini and Shop Mini Content in connection with Shop or the provision of the Services. This license allows us to, among other things: enable Shop Users and Merchants (if applicable) to use your Shop Mini in Shop or on such Merchants’ Stores; display and provide information about you and your Shop Mini to Shop Users and Merchants; frame and link to, place content around, and limit commands from your Shop Mini; make your Shop Mini discoverable by Shop Users and Merchants on or through Shop or the Service; and analyze your Shop Mini and Shop Mini Content for security, performance and compliance. We will not be subject to any third party terms or policies (including yours) associated with your Shop Mini or Shop Mini Content.\n- B. __Responsibility__ for Shop Mini. You are solely responsible for your Shop Mini (including its development, operation, maintenance, support, distribution, use, and content). You will develop and provide us your Shop Mini’s terms of service, and any updates thereto, that will apply to Shop Users’ use of your Shop Mini and you agree (i) such agreement is solely between you and the Shop User and we will not have any responsibility or liability thereunder and (ii) such agreement may not and will not supersede, modify, or be inconsistent with the Terms, and in the event of any conflict or inconsistency between the Terms and any agreement between you and Shop Users, the Terms shall supersede, prevail and govern.\n- C. __Shop Mini Content__. You agree that all Shop Mini Content will comply with the [Shop Content Policies](https://shop.app/content-policies), the Terms and all applicable laws. In particular, you agree to follow the [FTC Endorsement Guidelines](https://www.ftc.gov/business-guidance/resources/ftcs-endorsement-guides-what-people-are-asking) if you engage or pay individuals to promote any items or content in your Shop Mini. Shopify shall have the right to take any appropriate action with respect to Shop Mini Content that is not in compliance with the Terms or applicable laws.","Term4Heading":"4. Use of Merchant Materials and Prohibited Practices","Term4Markdown":"- A. __Merchant Materials__. Your access to the Shop Mini SDK may provide you access to Merchant Materials. You are solely responsible for your decision to use or distribute any Merchant Materials. While we may review Merchant Materials and other content to determine whether it is illegal or violates our policies or the Terms, and we may remove or refuse to display such content, we make no representations or warranties about Merchant Materials or any decisions we make regarding it. For the avoidance of doubt, this Section 4 of the Mini Terms supersedes Section 6.1.1 of the Shopify API Terms.\n- B. __Use of Merchant Materials__. Subject to your strict compliance with the Terms, Shopify grants you a limited, revocable, non-transferable, non-sublicensable right solely to display unmodified Merchant Materials (made available via the Shop Mini SDK) within your Shop Mini's interface inside Shop. Any other use is strictly prohibited. You shall not, directly or indirectly: (i) copy, store (except transient caching for immediate display), modify, create derivative works of, export, scrape, aggregate, or transfer Merchant Materials; (ii) use, or allow any third party to use, Merchant Materials for any purpose beyond display, including for analytics, research, LLM training, your own marketing, or outside of Shop; (iii) use Merchant Materials in any manner implying Merchant endorsement (beyond displaying their offerings), or in any unlawful, harmful, or disparaging way; or (iv) challenge ownership rights. No rights are granted by implication. This sublicense terminates automatically and immediately upon termination of these Mini Terms, removal of your Shop Mini, revocation of access to the Shop Mini SDK, or your breach of the Terms, requiring you to cease all use and purge caches.You may not copy, distribute, sell, sublicense, display, cache, export, reuse, repurpose, or otherwise use Merchant Materials for any purpose other than providing a Shop Mini in Shop in accordance with the Terms.\n- C. __Third Party Integrations__. If you integrate with a third party platform or service, you agree that: (i) you will fully comply with such third party’s terms of use; (ii) Shopify will have no responsibility or liability under such third party terms; and (iii) in all circumstances, you will comply, and ensure that such third party complies, with these Terms with respect to any Shop User Data or Merchant Materials you make available via such third party integrations, and you acknowledge and agree that any act or omission by such third party amounting to a breach of the Terms will be deemed to be a breach by you.\n- D. __Merchant rights__. Shopify reserves the right to enable Merchants to restrict or revoke Shop Mini Developers’ access to their Merchant Materials. Shop Mini Developers must immediately cease use of any restricted Merchant Materials upon notice by Shopify.\n- E. __Prohibited practices__. You represent, warrant and agree that your Shop Mini, the Shop Mini Content and your use of the Shop Mini SDK will not:\n  - 1. violate the Developer Guidelines, the [Shop Content Policy](https://shop.app/content-policies), the Terms or any other applicable Shopify terms or policies;\n  - 2. infringe or misappropriate any patent, copyright, trademark, trade secret, right of publicity, right of privacy, or other intellectual property or proprietary right of Shopify or any third party;\n  - 3. not integrate advertisements, tracking mechanisms, or analytics tools that enable third-party data transfer or profiling.\n  - 4. attempt unauthorized scraping or replication of Shop User Data or Merchant Materials or attempt to bypass, disable or circumvent any security features, limitations or usage restrictions;\n  - 5. not introduce, transmit or distribute any viruses, worms, defects, Trojan horses, malware, spyware, adware, backdoors, or other harmful code, files, scripts, agents, programs or items of a destructive, deceptive or invasive nature to the Shopify API or the Service (including Shop) or any data available through them; or\n  - 6. violate key terms, conditions, or guidelines imposed by relevant third-party platforms (such as [Apple App Store Guidelines](https://developer.apple.com/app-store/review/guidelines/) or [Google Play Store Policies](https://transparency.google/our-policies/product-terms/google-play/)) that are applicable to applications distributed or operating within their ecosystems, particularly concerning prohibited content, payments, or user safety.","Term5Heading":"5. Data Access, Privacy and Security","Term5Markdown":"- A. **Shop User Data Access and Use**. You may access Shop User Data through the Shop Mini SDK when enabled by a Shop User. Additionally, your Shop Mini may enable you to collect Shop User Data directly from Shop Users within the Shop Mini interface itself, but only if, and strictly as, permitted under the Developer Guidelines. For all Shop User Data you access, collect, receive, or otherwise process, regardless of the source (whether via the Shop Mini SDK or directly from the Shop User as permitted by the Developer Guidelines), you must: (i) obtain all necessary rights, permissions, and consents from the relevant Shop User; (ii) ensure that all such processing complies with these Terms, your privacy policy, and Applicable Data Protection Laws; and (iii) limit your access, collection, and processing of such Shop User Data to what is (a) authorized by the Shop User, and (b) strictly necessary for the purposes of providing the approved functionality of your Shop Mini as permitted under these Terms. Except as expressly permitted via the Shop Mini SDK or within the Developer Guidelines, you agree not to solicit, prompt, request, or otherwise collect any Shop User Data directly from a Shop User within the Shop Mini interface or by linking to external websites, forms, or applications.\n- B. **Independent Controllers**. You agree that, under Applicable Data Protection Laws, you act as an independent data controller of all Shop User Data accessed, collected, received, stored, processed, or otherwise used within your Shop Minis or transmitted to you through the Shop Mini SDK. YOU ASSUME FULL AND EXCLUSIVE RESPONSIBILITY AND LIABILITY FOR YOUR COMPLIANCE WITH APPLICABLE DATA PROTECTION LAWS AS IT RELATES TO SUCH SHOP USER DATA.\n- C. **Privacy Policy and Use**. You will provide and adhere to a privacy policy for your Shop Mini that is compliant with Applicable Data Protection Laws and clearly, accurately, and fully describes to Shop Users what Personal Data you collect, how you use such data, and how Shop Users can exercise their rights under Applicable Data Protection Laws. For the avoidance of doubt, how you use Shop User Data includes how you access, collect, store, retain, transmit, share, and otherwise process it. You may only use Shop User Data in accordance with your privacy policy, Applicable Data Protection Laws and the Terms. You agree that your privacy policy may not and will not supersede, modify, or be inconsistent with the Terms or Applicable Data Protection Laws, which will supersede if there is any conflict or inconsistency with your privacy policy. You will maintain, and provide us, publicly available, up-to-date links to your privacy policy and make such privacy policy easily accessible to Shop Users from your Shop Mini.\n- D. **Data rights**. You will (1) promptly update the Shop User Data upon request from us or the applicable Shop User, and (2) promptly delete the Shop User Data when: (a) retaining it is no longer necessary for your Shop Mini’s stated and approved functionality that is permitted under the Terms; (b) you stop operating your Shop Mini (whether on your own, due to an enforcement action by us, or otherwise); (c) we request you delete it; (d) the applicable Shop User requests you delete it; or (e) required by Applicable Data Protection Laws. You will give Shop Users an easily accessible way to ask for their Shop User Data to be modified and deleted. If you have received Shop User Data in error, you will immediately tell us, delete it, and provide proof of deletion upon our request.\n- E. **Restrictions & Prohibitions**. In addition to and without limiting the obligations and restrictions set forth in Sections 4.E. and 5.A. of these Mini Terms, you explicitly agree you shall not access, attempt to access, or process the following data categories:\n  - 1. any data not required for the legitimate functionality of your Shop Mini;\n  - 2. payment-card data, shipping or billing addresses;\n  - 3. sensitive or health related data of a Shop User;\n  - 4. Shop-level analytics;\n  - 5. customer lists provided directly through Merchants;\n  - 6. other Shop Minis' internal data; or\n  - 7. any other Shop User Data not explicitly permitted to be collected in the Developer Guidelines.\n- F. **Targeted Advertising Prohibition**. You shall not utilize Shop User Data to track user behavior across contexts, or for targeted advertising, third-party monetization, profiling beyond explicit authorized functionality, or selling data.\n- G. **Security Requirements**. For clarity, Section 9.14 of Part A of the Partner Program Agreement and Sections 7 and 8 of the Shopify API Terms apply to your Shop Mini. You must maintain appropriate industry-standard data security practices, promptly remedy vulnerabilities, notify Shopify immediately upon becoming aware of an actual or suspected breach related to Shop User Data or Merchant Materials, and cooperate fully in any security audits requested by Shopify.","Term6Heading":"6. User Fees and Revenue Share","Term6Markdown":"- A. **No Fees**. You agree not to, directly or indirectly, charge or accept any fees, costs, payments, subscriptions or other compensation from Shop Users or Merchants in connection with their access or use of, or any content or functionality contained or offered within, your Shop Mini.\n- B. **No Default Revenue Share**. Notwithstanding any terms to the contrary in the PPA, Shopify is under no obligation to pay you any revenue, commission, or other amounts in relation to your Shop Mini unless otherwise explicitly agreed by Shopify.","Term7Heading":"7.
